1. Agreement to Terms

By accessing our website or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our website or services. These Terms constitute a legally binding agreement between you and Eleganc Modular Systems Pvt Ltd ("Company," "we," "our," or "us").

2. Products and Services

Eleganc Modular Systems Pvt Ltd manufactures and supplies office furniture including but not limited to modular workstations, director tables, conference tables, office chairs, storage solutions, and office partitions. All products are custom-manufactured based on client specifications and requirements.

3. Quotations and Orders

3.1 Quotations

All quotations provided by us are valid for a period of 15 days from the date of issue unless otherwise specified in writing. Quotations are subject to change based on material costs, design modifications, or other factors communicated during negotiations.

3.2 Order Confirmation

An order is deemed confirmed only upon receipt of written confirmation from the client along with the agreed advance payment. Verbal orders or email inquiries without payment confirmation do not constitute binding orders.

4. Payment Terms

4.1 Payment Schedule

Payment terms shall be as mutually agreed upon at the time of quotation acceptance and order confirmation. Standard payment schedules may include advance payment, progress payments, and final payment upon delivery and installation, as specified in the quotation or purchase order.

4.2 Payment Methods

Payments may be made via bank transfer, cheque, or other methods as agreed. All payments must be made in Indian Rupees (INR) unless otherwise specified.

4.3 Delayed Payments

In case of delayed payments beyond the agreed schedule, the Company reserves the right to withhold delivery, suspend work, or charge interest on overdue amounts at a rate of 18% per annum or the maximum rate permitted by law.

5. Delivery and Installation

5.1 Delivery Timeline

Delivery timelines are estimates provided in good faith and are subject to factors including material availability, production schedules, and site readiness. The Company shall not be liable for delays caused by circumstances beyond its reasonable control.

5.2 Site Readiness

The client shall ensure that the installation site is ready and accessible for delivery and installation. Additional charges may apply for delays caused by site unreadiness, multiple delivery attempts, or extended installation requirements.

6. Returns and Refunds Policy

ALL SALES ARE FINAL. We generally do not accept returns, exchanges, or provide refunds for products once manufactured and/or delivered.

Due to the custom-manufactured nature of our products, which are specifically designed and produced based on individual client specifications, measurements, and requirements:

• Returns are generally not accepted
• No exchanges or replacements for change of preference or requirements
• No refunds shall be provided under normal circumstances
• Cancellations after order confirmation may result in forfeiture of advance payments

6.1 Special Case Returns

In exceptional circumstances, returns may be considered on a case-by-case basis, subject to explicit written approval from the owners/directors of Eleganc Modular Systems Pvt Ltd. Such approvals are granted at the sole discretion of the management and may be subject to restocking fees, deductions, or other conditions as determined by the Company.

Clients are advised to carefully review all specifications, dimensions, materials, colors, and finishes before confirming orders. Any changes after production commencement may incur additional costs and delays.

7. Warranty

7.1 Warranty Coverage

Products may be covered by manufacturer's warranty as specified in the quotation or product documentation. Warranty typically covers manufacturing defects in materials and workmanship under normal use conditions.

7.2 Warranty Exclusions

Warranty does not cover:

• Damage caused by misuse, abuse, neglect, or accidents
• Damage caused by unauthorized modifications or repairs
• Normal wear and tear
• Damage caused by environmental factors (water, fire, natural disasters)
• Fading or discoloration due to sunlight exposure
• Products used for purposes other than intended office use

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ELEGANC MODULAR SYSTEMS PVT LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, business, or anticipated savings
• Loss of data or business interruption
• Any damages arising from the use or inability to use our products
• Personal injury or property damage arising from product use

Our total liability for any claim arising out of or relating to these Terms or our products shall not exceed the amount paid by you for the specific product giving rise to the claim.

9. Disclaimer

ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The Company makes no representations or warranties regarding:

• The accuracy of product images, colors, or specifications displayed on the website
• The suitability of products for any particular purpose or use
• The durability or lifespan of products under specific conditions
• Compatibility with other furniture or fixtures

10. Indemnification

You agree to indemnify, defend, and hold harmless Eleganc Modular Systems Pvt Ltd and its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to your use of our products or services, or your violation of these Terms.

11. Intellectual Property

All designs, specifications, drawings, and documentation provided by the Company are proprietary and remain the intellectual property of Eleganc Modular Systems Pvt Ltd. Clients may not reproduce, distribute, or use such materials for purposes other than the specific project for which they were created.

12. Force Majeure

The Company shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, strikes, material shortages, or transportation disruptions.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Greater Noida, Uttar Pradesh, India.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. The courts of Greater Noida, Uttar Pradesh shall have exclusive jurisdiction over any disputes arising hereunder.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on this page. Your continued use of our services after changes constitutes acceptance of the modified Terms.
